  1. New Company Incorporation, £450 + vat (plus Companies House charges at cost)

Start as you mean to go on, by having Devant incorporate your new company for you. We will complete your Companies House Questionnaire, create your standard Articles of Association, and prepare and submit your first Statutory Registers. 

You’ll be expected to complete the HMRC UTR process, and tax-related points with your accountants, which can be done after incorporation.

  1. Shareholders’ Agreement and Directors’ Service Agreements, £3,000 – £8,000 + vat

Make sure that you and your fellow shareholders and directors have agreed all the essential points for the smooth running of your business relationship (and smooth departure, if one of you leaves), by putting in place a Shareholders’ Agreement and Directors’ Service Agreements. 

Your rights and obligations as a shareholder and as a director can be very different, and may not be what you expected. Rather than risking unpleasant surprises and disputes down the line, discuss and capture these up-front, with the help of Devant’s experienced team. We’ll guide you all through the process and explain the impact of each decision as we discuss it, so you and your fellow entrepreneurs can make the right choices to support your business success.

  1. Review and Update of Statutory Books, £500 – £2,000 + vat

If your statutory books are in less-than-perfect shape, all is not lost. Let Devant conduct a high level review to see where they need attention (for a fixed fee of £500 + vat), and we can then quote for a detailed audit, update and correction. We’ll have your books ship-shape and ready for investor inspection in no time!

  1. Annual Company Secretarial Support, £800 + vat per year

Once you’re all sorted, the Devant team will keep you on track and make sure everything stays in good shape. For one fixed annual fee, we’ll sort out:

  • Calendar reminders to ensure you provide information when we need it
  • Submission of statutory documents to Companies House, including your Confirmation Statement (CS01) and your accounts
  • Preparation of the necessary minutes and resolutions, and submission to Companies House of the relevant forms, for the following day-to-day ‘housekeeping’ updates:
    • Appointment or termination of a Director
    • Change of registered office
    • Change of accounting reference date
    • Standard cash final or interim dividends (including preparation of vouchers)
    • Share option exercise (using standard form documents provided as part of the share option scheme)
    • Update director’s details
    • Change of company name
    • Grant of new share options under an existing scheme (using your existing scheme plan documents)
  1. Company Secretarial Board Support, £2,000 + vat per year (plus travel and expenses)

As a well-managed business, you will be having regular Board Meetings. Allow us to support you in scheduling and running these meetings to ensure everything is done ‘by the book’. Getting this wrong can create all sorts of problems down the line, if a shareholder or director decides a decision was not properly reached or documented, so it’s worth investing in getting it right first time.

  • Sending invitations to Board Meetings in line with your Articles
  • Attendance at up to 4 quarterly Board Meetings each year
  • Management of voting and resolutions
  • Preparation of formal Board Minutes
  1. Virtual Chief Commercial Officer Board Support, £350 per hour (plus travel and expenses)

When making important strategic decisions, an experienced commercial and legal view is essential to help the Board properly assess all of your options. Whether you’re looking to expand overseas, explore new sales channels or change your business model, an impartial and objective Virtual CCO is invaluable. Your Virtual CCO will challenge, advise and support your Board through its decision-making process, ensuring you’ve considered all the potential risks and opportunities before investing in major changes.

  1. Special Submissions (‘specials’) and Transactions, hourly rate

As your business grows, you may seek to grow through acquisition, or to raise funds through debt or investment, or sale of all or part of the business. There are lots of ‘specials’ requiring detailed advice, agreements and documentation, as well as Companies House submissions. The Devant team has the experience and expertise to guide you through all of these, ensuring that your risk is managed and your transaction runs smoothly. Here are some examples:

  • Granting charges or mortgages over your assets
  • Investments, share issues or changes (including PSC changes)
  • Share reorganisations (divisions, consolidations, conversions, etc)
  • Sale of all or part of the company (as a share sale or an asset sale), or of company IP
  • Acquiring another business (as a share purchase or asset purchase)

This package includes:

Helping you spread the cost of getting your existing business in good shape, and keeping your ongoing costs low in exchange for a minimum commitment of 3 years, the ‘Up and Running’ Pack will cost only:

  • £759 + vat/month for year 1
  • £210 + vat/month for subsequent years
  • Payable monthly in advance 
  • Represents a discount of over £1,000 in year 1, and nearly £300/year for each successive year
  • Plus travel and expenses for attending Board Meetings

This package includes:

Working with Devant Virtual CCO Board Support will help you get the business in great shape for sale! This excellent-value package requires a minimum commitment of 2 years. If your sale completes before the end of this term, you can either pay the remaining amount on sale, or if you use the Devant team to support you in the transaction, we’ll waive any outstanding sums.
